Contact for legal and compliance matters: legal@novatalent.com

Nova operates several digital services under a single corporate group. These services are governed by different contractual terms depending on your relationship with Nova and the service you use.

For this reason, Nova provides three (3) distinct sets of Terms & Conditions:

  • one for members of the Nova Network (community and talent services)
  • and another for clients of Nova Recruiter (SaaS platform for recruitment).
  • and another one for clients of Nova’s B2B Professional Services (Executive Search, RPO, Employer Branding Sponsorpships, etc.).

This page explains which Terms & Conditions apply to you and where to find them.

1. Nova Network Terms & Conditions

Nova Network Terms & Conditions

When this applies

These Terms apply when you engage with Nova as an individual member, applicant, or participant in Nova’s community services, including (without limitation):

  • Applications to become a Nova member (candidates.novatalent.com)
  • Use of the Nova App or other member platforms (app.novatalent.com)
  • Participation in Gravity, Mentoring, Nova 111, and other initiatives of the network
  • Attendance at Nova events, workshops, and programs
  • Use of member-only features such as Threads, Directory, or Development

What it covers

These Terms govern, among others:

  • Eligibility, rights, and obligations of Nova Members
  • Acceptable use and community conduct rules
  • Confidentiality, intellectual property, and posting guidelines
  • Participation in Nova programs and events
  • Limitations of liability, termination, and governing law

These Terms apply to you if you are interacting with Nova as a member, candidate, mentor, mentee, event participant, or community user.

2. Nova Recruiter Terms & Conditions

Nova Recruiter’s Terms of Service

When this applies

These Terms apply when you act as a recruiter, hiring manager, or corporate client using Nova Recruiter — Nova’s SaaS platform for talent sourcing and engagement — or any related enterprise services provided under a commercial account.

What it covers

These Terms establish:

  • The license and permitted use of the Nova Recruiter platform
  • Subscription models, payments, renewals, and termination
  • Confidentiality, intellectual property, and client data ownership
  • Service-level commitments, data processing, and security standards
  • Limitations of liability, governing law, and dispute resolution

These Terms apply to you if you or your company use Nova Recruiter under a client account or enterprise agreement.

3. Nova B2B Terms of Service (Professional Services)

Nova B2B Terms of Service (Professional Services)

When this applies

These Terms apply when your organisation engages Nova for professional B2B services other than Nova Recruiter, including (without limitation):

  • Executive Search / Headhunting
  • Recruiter-as-a-Service / RPO / Embedded Talent Partner models
  • Talent assessments, leadership evaluations, and candidate reporting
  • Employer branding, sponsorships, and talent-marketing activations
  • Data insights, talent research, and bespoke recruitment projects
  • Workshops, training, advisory, and strategic consulting
  • Event-related services delivered to organisations (not community events)

These engagements typically begin with a Proposal, Statement of Work (“SOW”), Order Form, or Master Services Agreement.

What it covers

These Terms govern:

  • Scope of work, deliverables, timelines and hiring processes
  • Fees (retainers, fixed fees, project fees, success fees), invoicing and payment terms
  • Candidate introduction rules and hiring attribution periods
  • Confidentiality (including candidate reports, assessments and insights)
  • Intellectual property for methodologies, evaluations and deliverables
  • Data protection roles for professional services (controller/processor depending on context)
  • Termination rights, liability caps and dispute resolution

These Terms apply only to Nova’s professional services and not to the Nova Recruiter SaaS product or the Nova Network community membership.

4. Why there are 3 sets of Terms

Nova provides three very different types of services — each with its own regulatory, commercial and operational characteristics. Keeping the Terms separate ensures transparency and legal accuracy.

1. Different roles

  • Members use Nova as individuals within the community.
  • Recruiters and companies use Nova Recruiter as a SaaS platform.
  • Clients engage Nova for high-touch professional services (Executive Search, RPO, advisory, etc.).

Each relationship creates different rights, obligations, and liabilities.

2. Different legal frameworks

  • Nova Network Terms include consumer-style and community conduct rules.
  • Nova Recruiter Terms include SaaS licensing, service levels, acceptable use, AI, and subscription rules.
  • Nova B2B Terms include project-based fees, hiring attribution, IP, deliverables, confidentiality, and consulting obligations.

Unifying them would create conflicts, ambiguities and unnecessary obligations for clients who only use one service.

3. Different data-protection roles

  • Members provide personal data directly (community).
  • Nova Recruiter processes publicly-sourced or licensed data and client-generated recruitment data.
  • B2B services involve candidate sourcing, controller-to-controller transfers, assessments, and processing on behalf of clients in some cases.

The GDPR roles and lawful bases differ substantially across the three categories.

4. Transparency for clients and regulators

Separating Terms:

  • Simplifies compliance checks
  • Matches industry standards (LinkedIn, HubSpot, Workday, Salesforce follow the exact same structure)
  • Makes each set of obligations clear and easy to audit

5. Clearer commercial positioning

Clients and users can understand immediately:

  • “If I use the community → Terms 1 apply.”
  • “If I use the SaaS → Terms 2 apply.”
  • “If I buy Executive Search or services → Terms 3 apply.”
